The present conditions govern the supply of products from Synertech to the Customer. These terms may be cancelled and replaced solely at Synertech’s discretion. They cancel and replace every previous agreement between the parties, including those issued by letter, fax, e‑mail or any other means.
Any changes or cancellations of the order, except for urgent goods, can only be granted if the goods have not yet entered production or, for stock goods, have not been prepared for shipment. Changes must be confirmed in writing by Synertech within two working days, together with any variations in price and/or delivery. For urgent goods, modification or cancellation of the order cannot be requested after Synertech has sent the order confirmation.
Transport methods will be those agreed in the order confirmation or prior arrangements. Synertech may change such methods without additional cost or delay for the customer. The ordered goods will be delivered to the customer's location or other specified destination. The customer must verify immediately that the goods correspond to the order. Any complaints will be accepted only if received by Synertech within five (5) working days from the delivery date.
Delivery terms are indicative and non‑binding. Synertech is not responsible for any delay in delivery caused by the customer’s negligence or by force majeure. In such cases, delivery dates will be automatically extended for a period equal to the delay. “Force majeure” means any circumstance beyond Synertech’s reasonable control, including governmental actions, war, revolution, civil unrest, strikes, lock‑outs, embargo, lack of power or fuel, floods, natural disasters, or accidents resulting from negligence or gross negligence.
Synertech products are manufactured using controlled, high‑quality materials. All manufacturing steps are monitored to ensure compliance with international quality standards (ref. Standard Market). The user must inspect the product upon receipt and promptly report in writing any defects not previously identified. After eight (8) days from receipt, no claims will be accepted. For any non‑conformity, send written notice by e‑mail, fax or post indicating: type of defect, number of defective pieces, article code and Synertech batch number. In the case of serious defects, please include samples.
Synertech guarantees its products only for confirmed requirements. Test data are based on laboratory conditions; different environments or equipment may produce different results. Therefore, Synertech assumes no obligation or liability. TGA, infrared and other analyses must be agreed and approved by both parties with defined specifications and tolerances; otherwise, results cannot be guaranteed or confirmed.
Equipment, moulds and any other tooling required for production remain, unless otherwise agreed in writing, the exclusive property of Synertech. A cost‑sharing contribution from the customer does not convey ownership or usage rights. Unless otherwise stated, Synertech may freely use such equipment for other productions.
Offer validity: 2 months. Transport at customer’s expense.
Synertech supplies products according to customer specifications and is not responsible for product design, performance, or functional testing. Identification and compliance with any mandatory regulations applicable to the product remain the customer’s responsibility.
Fees for products are as stated in the customer order or order confirmation. Unless otherwise agreed, payment is due upon receipt of the invoice. Unless specified, prices exclude customs duties, taxes or import charges, which are borne by the buyer.
These sales conditions are deemed accepted by the customer unless contested in writing within eight (8) working days from receipt of the document in which they appear (e.g. order confirmation or delivery note). They remain valid until updated by Synertech. Modifications are effective only if agreed in writing by both parties.
Synertech reserves the right to suspend contract performance as provided by Art. 1461 of the Italian Civil Code or in the event of non‑payment. The customer remains obliged to pay all due amounts and interest for late payment increased by 5 %.
Any dispute arising from this contract is subject to the exclusive jurisdiction of the Court of Bergamo. Italian law applies.
